Terms of Service

These Terms of Service govern access to and use of SkyPath and related services made available by SkyPath AI or its applicable affiliate identified in an order form, checkout page, or other purchasing record (“SkyPath,” “Privata“, “we,” “us,” or “our”). By creating an account, accepting these Terms, accessing the Service, or using the Service, you agree to be bound by these Terms.

If you are accepting these Terms on behalf of a company, government entity, or other organization, you represent that you have authority to bind that entity, and “Customer,” “you,” and “your” refer to that entity and its authorized users.

1. Definitions

For purposes of these Terms:

  • Service means the SkyPath cloud platform, including related websites, software, documentation, hosted features, AI tools, and support services made available by SkyPath.
  • Customer Content means information, prompts, source documents, uploaded files, collection documents, websites added by URL, chat inputs, instructions, metadata, and other content submitted to the Service by or on behalf of you or your users.
  • Output means text, summaries, images, proposals, answers, presentations, search results, or other content generated by the Service in response to Customer Content or user instructions.
  • User means any individual authorized to access the Service through your account or organization.
  • Corporate Workspace means a shared organizational account environment that allows multiple invited users to access shared projects, collections, and related resources.
  • Subscription Period means the paid or trial access period associated with your subscription.

2. Access and Use

During the applicable Subscription Period, and subject to these Terms, SkyPath grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes.

You may use the Service to:

  • Create and manage projects
  • Upload source documents and supporting Knowledgebase materials
  • Use Q&A, Proposal, Secure Chat, search, summarization, image generation, presentation generation, profile generation, and related platform tools
  • Download or export your permitted results

Your use of the Service must comply with these Terms, the documentation, applicable plan limits, and applicable law.

3. Accounts and Eligibility

You must provide accurate registration information and keep your account details current. You are responsible for all activity under your account and for maintaining the confidentiality of usernames, passwords, one-time codes, and other credentials.

The Service supports:

  • Individual accounts, intended for one person using the Service without shared organizational access
  • Corporate accounts, intended for shared access by invited users within a Corporate Workspace

You must promptly notify SkyPath if you believe your account or credentials have been lost, stolen, or compromised.

4. Individual and Corporate Access

4.1 Individual Accounts

An Individual account is intended for single-user access. Individual accounts are not intended for shared use across multiple people.

4.2 Corporate Workspaces

A Corporate Workspace allows invited users to collaborate through shared projects, collections, and related workspace resources. Corporate access is controlled through purchased seat licenses and organization-level user management.

Organization administrators (“Org Admins”) may invite, promote, demote, and remove users from a Corporate Workspace. If a user is removed from a Corporate Workspace, organization-associated projects, documents, collections, and similar company-owned resources may remain with the organization and may be transferred or retained by the organization in accordance with workspace administration rules.

You are responsible for ensuring that only authorized users are granted access to your Corporate Workspace.

5. Free Trial, Paid Plans, and Seats

5.1 Free Trial

New users may begin with a 30-day free trial, unless otherwise stated at signup or in a written order. Trial access may be limited by feature availability, plan limits, or other conditions disclosed during signup.

At the end of the trial, continued access may require upgrading to a paid subscription. If you do not upgrade, access to some or all features may be suspended, downgraded, or terminated.

5.2 Paid Individual Plans

SkyPath may offer paid individual plans, including Standard, Professional, and Premium, each with different storage, AI token, document-processing, and feature limits.

5.3 Corporate Seat Licenses

SkyPath may offer a Corporate Seat license for organizations that need additional shared users in a Corporate Workspace. Corporate seats are intended to permit invited users to collaborate across shared projects, Knowledgebase collections, and related workspace resources.

Unless otherwise stated in an order form, Corporate Seats are billed annually. Only authorized Org Admin users may purchase additional seats for a Corporate Workspace.

5.4 Plan Changes

Plan upgrades may take effect immediately and may be subject to prorated billing adjustments. Plan downgrades may take effect at the start of the next billing cycle. Corporate Seat changes or migrations from an individual plan to a corporate license type may be subject to additional restrictions disclosed during checkout or plan change.

6. Fees, Billing, and Payment

You agree to pay all applicable fees, taxes, and charges associated with your selected subscription, plan, seat purchases, and related services.

  • Fees are billed in the billing cycle selected at purchase or renewal.
  • Annual pricing may differ from month-to-month pricing.
  • Certain purchases, including Corporate Seats, may be available only on annual billing.
  • Taxes, duties, or government-imposed charges may be added where applicable.

If you authorize automatic payments, you authorize SkyPath and its payment processors to charge your payment method for all applicable fees and taxes.

Unless required by law or expressly stated otherwise, fees are non-refundable.

6.1 Payment Failure

If a payment fails, your subscription may become delinquent, suspended, or canceled. SkyPath may require you to update your payment method before restoring full access.

6.2 Billing History and Receipts

SkyPath may make invoices, receipts, transaction records, or billing history available through the Billing page or associated payment systems.

7. Customer Content and Outputs

7.1 Ownership of Customer Content

As between the parties, you retain all right, title, and interest in and to your Customer Content.

You grant SkyPath a limited, worldwide, non-exclusive license to host, copy, process, transmit, display, modify, retrieve, and otherwise use Customer Content only as necessary to:

  • Provide, secure, and maintain the Service
  • Generate Outputs you request
  • Index and retrieve Knowledgebase materials
  • Support account administration, billing, and support operations
  • Comply with law or enforce these Terms

7.2 Ownership of Outputs

As between the parties, and to the extent permitted by law and third-party provider terms, SkyPath assigns to you any right, title, and interest SkyPath may have in Outputs generated specifically for you from your authorized use of the Service. SkyPath does not grant rights in third-party materials, public source materials, or content you did not have the right to submit.

7.3 Your Responsibility for Content

You are responsible for the legality, accuracy, quality, and use of Customer Content and Outputs. You represent and warrant that you have all rights necessary to submit Customer Content to the Service and to authorize its use as described in these Terms.

8. AI Features and Important Limitations

The Service includes AI-assisted features, including question extraction, answer generation, proposal generation, summarization, image generation, Secure Chat, search, and presentation generation.

You acknowledge and agree that:

  • AI-generated results may be incomplete, inaccurate, biased, or unsuitable for your intended use
  • Outputs require human review before use in customer-facing, legal, regulated, financial, medical, safety-critical, or other high-risk contexts
  • Confidence scores, summaries, extracted instructions, and similar signals are informational only and not guarantees of correctness
  • Merge-back features may place content imperfectly depending on document structure

The Service is not a substitute for professional judgment, legal review, compliance review, or human oversight.

WARNING

Do not rely on the Service as the sole basis for regulated, safety-critical, legal, medical, or similarly high-risk decisions.

9. Data Handling, Privacy, and Machine Learning Restrictions

SkyPath provides the Service as a privacy-focused platform and is designed to support stateless AI workflows.

Subject to these Terms and any separate privacy notice or data protection agreement:

  • model calls are designed to be request-based rather than dependent on long-term model memory;
  • prompts and Customer Content are provided per request using controlled project and collection context;
  • SkyPath will not use your prompts, Customer Content, or Secure Chat history to train or fine-tune foundation models unless you separately and expressly agree in writing;
  • SkyPath may collect service telemetry, operational logs, and usage information needed to operate, secure, support, bill for, and improve the Service; and
  • SkyPath may use aggregated or de-identified usage data that does not identify you or your users to operate and improve the Service.

Secure Chat history may be stored in the application database to provide continuity and account functionality. Chat history may be deleted when you delete a conversation or delete your account, subject to routine backups, fraud prevention, legal obligations, billing records, and reasonable operational retention.

If you require special data handling terms, including a data processing agreement or sector-specific commitments, those terms must be separately agreed in writing.

10. Support

SkyPath will provide support in accordance with the support channel, support level, and plan entitlements applicable to your subscription.

Support may include:

  • online support forms;
  • support by email; and
  • phone support, if included in your pricing plan or separately agreed.

Support details may be updated from time to time in the documentation, support portal, or applicable order materials.

11. Acceptable Use and Restrictions

You will not, and will not allow any third party to:

  • reverse engineer, decompile, or attempt to discover source code, underlying models, prompts, embeddings, or non-public components of the Service, except where prohibited by law;
  • copy, modify, distribute, sell, lease, sublicense, or provide access to the Service except as expressly allowed by these Terms;
  • remove proprietary notices or circumvent technical restrictions;
  • use the Service to build or benchmark a competing product, except to the extent such restriction is prohibited by law;
  • upload content you do not have rights to use;
  • submit malware, harmful code, or content intended to disrupt the Service;
  • attempt unauthorized access to accounts, systems, or data;
  • use the Service in violation of law, sanctions, export controls, or third-party rights;
  • use the Service in high-risk activities where failure could reasonably be expected to cause death, personal injury, or severe property or environmental harm;
  • use the Service to generate or distribute unlawful, infringing, fraudulent, abusive, or harmful content.

SkyPath may set plan limits, rate limits, search limits, storage limits, AI token limits, document-processing limits, and other usage limits.

12. Suspension

SkyPath may suspend or restrict access to the Service, in whole or in part, if:

  • you fail to pay undisputed amounts when due;
  • you exceed applicable plan limits in a way that affects the Service or other customers;
  • your use violates these Terms or applicable law;
  • your use threatens the security, integrity, or availability of the Service; or
  • suspension is necessary to prevent harm, fraud, abuse, or legal exposure.

Where practical, SkyPath will use reasonable efforts to notify you before suspension and to restore access once the underlying issue is resolved.

13. Confidentiality

Each party may receive non-public information from the other party that should reasonably be understood as confidential (“Confidential Information”). Each receiving party will:

  • use the other party’s Confidential Information only as needed to exercise rights or perform obligations under these Terms; and
  • protect the other party’s Confidential Information using reasonable care and no less than the care it uses to protect its own similar information.

Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already lawfully known, was lawfully received from a third party without duty of confidentiality, or was independently developed without use of the Confidential Information.

The receiving party may disclose Confidential Information if required by law, subpoena, or court order, provided it gives advance notice where legally permitted.

14. Intellectual Property

SkyPath retains all right, title, and interest in and to the Service, including all software, interfaces, workflows, models, design, documentation, branding, and related intellectual property, except for the limited rights expressly granted in these Terms.

Nothing in these Terms transfers ownership of the Service or SkyPath intellectual property to you.

You may provide feedback or suggestions about the Service. SkyPath may use that feedback without restriction or obligation.

15. Term, Renewal, and Termination

These Terms begin when you first accept them or use the Service and continue until terminated.

Paid subscriptions renew according to the applicable billing cycle unless canceled in accordance with the Service interface, an applicable order form, or these Terms.

Either party may terminate these Terms:

  • for material breach not cured within thirty (30) days after written notice;
  • immediately if the other party materially breaches these Terms in a way that cannot reasonably be cured;
  • if required by law or sanctions compliance; or
  • as otherwise expressly permitted under these Terms.

You may also stop using the Service at any time. If you cancel a subscription, cancellation may take effect at the end of the current billing cycle rather than immediately.

16. Effect of Termination

Upon expiration or termination:

  • your right to access and use the Service ends, except to the extent access is provided for billing review or data export;
  • unpaid fees accrued before termination remain due and payable;
  • SkyPath may delete or disable access to Customer Content and account data in accordance with its retention practices, operational requirements, and legal obligations;
  • in a Corporate Workspace, organization-associated data may remain with the organization after individual user removal;
  • provisions that by their nature should survive will survive, including payment obligations, ownership, confidentiality, disclaimers, liability limits, indemnification, and general terms.

17. Warranties and Disclaimer

17.1 Mutual Warranties

Each party represents that it has the authority to enter into these Terms and will comply with applicable law in performing its obligations.

17.2 Limited Service Warranty

SkyPath warrants that it will provide the Service in a professional and workmanlike manner and will not materially reduce the general functionality of the Service during an active Subscription Period.

17.3 Disclaimer

Except as expressly stated in these Terms, the Service is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, SkyPath disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, and error-free operation.

SkyPath does not warrant that Outputs will be accurate, complete, error-free, or suitable for your intended use.

18. Indemnification

18.1 By You

You will defend, indemnify, and hold harmless SkyPath and its affiliates, officers, directors, employees, and agents from third-party claims arising out of or related to:

  • your Customer Content;
  • your or your users’ violation of these Terms;
  • your or your users’ violation of applicable law; or
  • your or your users’ infringement or misappropriation of third-party rights.

18.2 By SkyPath

SkyPath will defend, indemnify, and hold harmless you from third-party claims alleging that the Service, when used as authorized under these Terms, infringes that third party’s intellectual property rights, excluding claims resulting from Customer Content, combinations not provided by SkyPath, or unauthorized modifications or use.

The indemnifying party will control the defense and settlement of the claim, subject to the other party’s reasonable cooperation and the restriction that no settlement may admit fault or impose obligations on the indemnified party without consent.

19. Limitation of Liability

To the maximum extent permitted by law:

  • neither party will be liable for consequential, incidental, indirect, special, exemplary, or punitive damages, or for lost profits, lost revenues, lost business, or loss of goodwill, even if advised of the possibility of those damages; and
  • each party’s total aggregate liability arising out of or related to these Terms will not exceed the total fees paid or payable by you to SkyPath for the Service during the twelve (12) months preceding the event giving rise to the claim.

The foregoing limitations do not apply to your payment obligations, your infringement of SkyPath intellectual property rights, either party’s confidentiality obligations, either party’s indemnification obligations, fraud, willful misconduct, or liability that cannot be limited by law.

20. Changes to the Service and Terms

SkyPath may modify the Service from time to time, including adding, changing, or removing features. SkyPath may also update these Terms. If SkyPath makes a material change, SkyPath will provide notice by posting the updated Terms, updating the effective date, or using another reasonable method.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.

21. Governing Law and Dispute Resolution

These Terms are governed by the laws of [Governing State/Country], excluding its conflict of laws rules. Any dispute arising out of or related to these Terms will be brought exclusively in the state or federal courts located in [Venue], and each party consents to that jurisdiction and venue.

Nothing in these Terms limits either party’s right to seek injunctive or equitable relief for misuse of intellectual property, unauthorized access, or breach of confidentiality.

22. General Terms

  • These Terms are the entire agreement between the parties regarding the Service, unless superseded by a separate written agreement, order form, or enterprise contract signed by both parties.
  • If any provision is held unenforceable, the remaining provisions remain in effect.
  • Failure to enforce any provision is not a waiver.
  • You may not assign these Terms without SkyPath’s prior written consent, except in connection with a merger or sale of substantially all of your business or assets. SkyPath may assign these Terms in connection with a merger, reorganization, or sale of its business or assets.
  • The parties are independent contractors and do not form a partnership, agency, or joint venture.
  • There are no third-party beneficiaries to these Terms.
  • SkyPath is not responsible for delays or failures caused by events beyond its reasonable control, except that such events do not excuse your payment obligations.
  • Use of the Service must comply with export control and sanctions laws.

24. Additional Product-Specific Terms

24.1 Secure Chat

Secure Chat may store conversation history within the application to support continuity and account functionality. Deleting a conversation or deleting an account may remove related chat history, subject to backup, fraud prevention, billing, and legal retention needs.

24.2 Knowledgebase and Collections

You are responsible for ensuring that documents, websites, and other content you add to the Knowledgebase or to collections are content you are authorized to use and process.

24.3 Corporate Administration

If you are an Org Admin, you are responsible for how users are invited, assigned roles, and granted access within the Corporate Workspace. You must ensure that each seat is used only by an authorized individual.

24.4 Support Levels

Phone support is available only if included in your plan or separately agreed. If your plan includes phone support, the number may be provided by separate communication.
